— The situation

Four profitable businesses sat under one family’s ownership in three jurisdictions, each financed separately, each with a different minority shareholder and none able to borrow against the strength of the others. A generational transfer was four years away.

— The outcome

A $420M platform facility closed in nine months at a materially lower blended cost of capital, with three of four minorities rolling into the new structure. The family has since acquired two further businesses onto the platform.

— What we did

  1. 01 Modelled the group as a single balance sheet for the first time, and showed the family what the fragmentation was costing in basis points.
  2. 02 Designed a platform structure that respected each minority’s existing economics rather than requiring them all to be bought out at once.
  3. 03 Ran a structured process with a small number of credit providers, against a thesis rather than against a teaser.
  4. 04 Sequenced the recapitalisation to land before, not during, the generational transfer.
